Zoho Corporation Pvt. Ltd. is a privately-owned company. It operates independently, meaning it is not listed on the stock market and has no institutional or angel investors’ money.

As per the Indian Companies Act 2013, a private company must have at least ₹1 lakh in paid-up share capital. Such companies cannot raise money from the public, and shareholders cannot transfer their shares.

A private company must have at least two directors and can have between 2 to 200 members.

Under the Act, a private company must include ‘Private Limited’ (Pvt. Ltd.) after its name, hence Zoho Corporation became Zoho Corporation Pvt. Ltd.

Since Zoho is a private company, it is not required to issue a prospectus to the public, unlike a public company. The minimum capital for a private company is ₹1 lakh.

Holding meetings like the Annual General Meeting (AGM) is not mandatory for a private company.

Being a private company, Zoho Corporation is not required to disclose its balance sheet, profit and loss account, and cash flow statement to the public. The last time Zoho publicly disclosed its balance sheet was on 31st March 2022.

History of Zoho Corporation

Zoho Corporation started in 1996 in New Jersey, USA, as Advent Network Management Inc. Its founders were Sridhar Vembu, Tony Thomas, Kumar Vembu, Sekar Vembu, Shailesh Kumar Dave, and Srinivas Kanumuru.

  • Initially, Zoho was a network management company providing web-based network management software to telecom service providers.
  • The team began by coding in Java, a rising programming language at that time, and published their code on adventnet.com. Their Java SNMP API 1.0 was well-received by software developers.
  • By the end of 1997 and the beginning of 1998, the company developed software in Silicon Valley, California, and changed its name to AdventNet Inc. In 1998, the office moved from New Jersey to San Jose, California.
  • AdventNet started with a 15-member team focusing on network management software. They gained significant success in Japan when a top Japanese printer company licensed their software.
  • Tony Thomas was the first CEO of AdventNet, with Sridhar Vembu as the company’s chief promoter. Their first product, WebNMS, was an OEM solution.
  • In 1997, AdventNet made about $350,000 in sales, and the founders reinvested in research and development.
  • In 2000, the office moved to Pleasanton, California. Around the same time, Sridhar Vembu, then CEO, decided against taking venture capital funds to maintain the company’s independence. This decision is why Zoho Corporation still operates as a private company.
  • In 2001, AdventNet expanded internationally, opening its first office in Japan. In 2003, the company launched its division, ManageEngine. In 2004, they introduced Zoho Virtual Office.
  • In 2005, AdventNet launched Zoho CRM and Zoho Writer, entering the SaaS market. By 2006, they released Zoho Projects, Sheet, Creator, and Show. In 2007, they launched Zoho Docs and Zoho Meeting.
  • In 2008, they released Invoicing and Mail applications, reaching one million users by August that year. In 2009, AdventNet rebranded as Zoho Corporation, named after its online office suite, Zoho.
  • In 2017, Zoho launched Zoho One, a suite with over 40 applications. By 2020, the company had over 50 million customers, and by 2021, Zoho One included 10 more applications.
  • By November 2022, Zoho served over 50,000 organizations in 160 countries, with more than 80 million users.

Zoho hosts an annual conference to connect with users and help them understand its products better. In March 2023, Zoho collaborated with financial technology company Payoneer and in April announced a partnership with Trident to help users communicate across various channels.
